PURPOSE AND ACCEPTANCE OF TERMS

Access to the systems, software, and consultancy services of **SingularityOS AI LLC** implies unconditional acceptance of these terms. The user acknowledges they are acquiring specialized B2B AI services and high-performance technical infrastructure.

FINANCIAL POLICY, REFUND & CANCELLATION TERMS

Mandatory Advance: Every project or specialized consultancy service requires a 50% initial payment to initiate operations.
Infrastructure Consumption & Refund Policy: The initial payment covers immediate non-recoverable costs, including computing allocation (Vertex AI/Google Cloud) and expert bandwidth. Refunds are only considered if the service has not yet been initiated or if technical delivery fails on our end. Once computing execution or professional interpretation begins, the initial payment is non-refundable.
Subscription Cancellation Policy: Monthly SaaS subscriptions may be canceled by the user at any time through the customer portal. Cancellation will stop all future billing. No partial refunds are provided for the remaining days of a billing cycle once the period has started.
Settlement: The remaining 50% balance must be settled as per the agreed project milestones or before final asset delivery.

MODELO DE CRÉDITOS PREPAGADOS, RECARGA AUTOMÁTICA Y POLÍTICA DE REEMBOLSO (BRAND SOUL)

Modelo Prepago Servicios Brand Soul: Los servicios Brand Soul se basan en un modelo de créditos prepagados, no en suscripciones mensuales. El usuario adquiere paquetes de créditos en una sola transacción y estos créditos se consumen según la utilización del servicio Brand Soul.
Términos de Reembolso: Los créditos comprados no tienen fecha de caducidad y permanecen disponibles en la cuenta del usuario hasta su consumo completo. Solicitudes de reembolso solo serán procesadas si ningún Brand Soul fue generado desde el paquete de créditos originalmente adquirido. Si al menos un Brand Soul fue producido utilizando créditos de dicho paquete, no procederá el reembolso de la compra de ese paquete específico. Esta política se fundamenta en nuestra especificación técnica de productos, sección Q6.
Funcionalidad de Recarga Automática: SingularityOS AI LLC implementa una funcionalidad de recarga automática de créditos. Esta característica se activa exclusivamente cuando (i) el saldo de créditos del usuario llega a cero, y (ii) el usuario ha completado al menos una compra previa con los datos de pago guardados en Stripe. La recarga automática cargará el mismo paquete de créditos que la última compra completada.
Control del Usuario sobre Recarga Automática: El usuario puede desactivar la recarga automática en cualquier momento mediante nuestro panel de control o solicitándolo a soporte al cliente. La función de recarga automática se activa solamente si el usuario ha autorizado explícitamente el guardado de su forma de pago durante una transacción anterior.
Procesamiento de Pagos a través de Stripe: Todas las transacciones de créditos y recargas automáticas se procesan mediante Stripe, Inc., siguiendo sus políticas de seguridad PCI-DSS Level 1. SingularityOS AI LLC no almacena datos de tarjetas directamente; todos los datos de pago sensibles se manejan exclusivamente a través de la infraestructura de Stripe.
Cancelación de Pedidos Pendientes: Si un usuario compra un paquete de créditos pero no se ha generado ningún Brand Soul de ese paquete, el usuario tiene derecho a un reembolso completo de la compra. Esta solicitud debe realizarse antes de generar cualquier output del servicio.
Restricciones de Reembolso: No se otorgarán reembolsos parciales por créditos no utilizados de un paquete, ni por la diferencia entre el precio de un paquete usado y otro de diferente tamaño. Cada paquete es una transacción independiente con su propia política de reembolso.

INTELLECTUAL PROPERTY AND LICENSING

All proprietary algorithms, structured prompts, and AI architectures (including systems internally designated as Neural Flash, Neural Captions, and Inquisidor Engine) are the exclusive and perpetual property of SingularityOS AI LLC.

License of Use: A limited, revocable, and non-transferable license is granted for the use of generated outputs.
Prohibition of Reverse Engineering: Any attempt to decompile, trace, or replicate the Company's code will result in immediate service termination and legal action under the Wyoming Trade Secrets Act.

LIABILITY SHIELDING

Legal Translation and Medical Interpretation: Our services are AI-assisted precision tools with human expert verification. However, the End User is ultimately responsible for validation before USCIS, courts, or healthcare institutions.
Liability Limit: The Company's total liability for any claim is strictly limited to the total amount paid by the client in the last three (3) months. We are not liable for consequential damages, lost profits, or third-party rejections.

PRIVACY (OPSEC) AND HIPAA COMPLIANCE

Processing of sensitive healthcare data requires a fully executed **Business Associate Agreement (BAA)**. Without this document, the user is strictly prohibited from injecting Protected Health Information (PHI) into our systems. SingularityOS employs advanced encryption protocols, but the secure custody of access credentials remains the user's sole responsibility.

JURISDICTION AND DISPUTE RESOLUTION

Any dispute, controversy, or claim arising from this agreement shall be resolved exclusively through **binding arbitration in Casper, Wyoming, USA**. The user explicitly waives their right to participate in class-action lawsuits.
