TERMS OF SERVICE AND BUSINESS POLICIES: SINGULARITYOS AI LLC

PURPOSE AND ACCEPTANCE OF TERMS

Access to the systems, software, and consultancy services of **SingularityOS AI LLC** implies unconditional acceptance of these terms. The user acknowledges they are acquiring specialized B2B AI services and high-performance technical infrastructure.

FINANCIAL POLICY, REFUND & CANCELLATION TERMS

  • Mandatory Advance: Every project or specialized consultancy service requires a 50% initial payment to initiate operations.
  • Infrastructure Consumption & Refund Policy: The initial payment covers immediate non-recoverable costs, including computing allocation (Vertex AI/Google Cloud) and expert bandwidth. Refunds are only considered if the service has not yet been initiated or if technical delivery fails on our end. Once computing execution or professional interpretation begins, the initial payment is non-refundable.
  • Subscription Cancellation Policy: Monthly SaaS subscriptions may be canceled by the user at any time through the customer portal. Cancellation will stop all future billing. No partial refunds are provided for the remaining days of a billing cycle once the period has started.
  • Settlement: The remaining 50% balance must be settled as per the agreed project milestones or before final asset delivery.

INTELLECTUAL PROPERTY AND LICENSING

All proprietary algorithms, structured prompts, and AI architectures (including systems internally designated as Neural Flash, Neural Captions, and Inquisidor Engine) are the exclusive and perpetual property of SingularityOS AI LLC.

  • License of Use: A limited, revocable, and non-transferable license is granted for the use of generated outputs.
  • Prohibition of Reverse Engineering: Any attempt to decompile, trace, or replicate the Company's code will result in immediate service termination and legal action under the Wyoming Trade Secrets Act.

LIABILITY SHIELDING

  • Legal Translation and Medical Interpretation: Our services are AI-assisted precision tools with human expert verification. However, the End User is ultimately responsible for validation before USCIS, courts, or healthcare institutions.
  • Liability Limit: The Company's total liability for any claim is strictly limited to the total amount paid by the client in the last three (3) months. We are not liable for consequential damages, lost profits, or third-party rejections.

PRIVACY (OPSEC) AND HIPAA COMPLIANCE

Processing of sensitive healthcare data requires a fully executed **Business Associate Agreement (BAA)**. Without this document, the user is strictly prohibited from injecting Protected Health Information (PHI) into our systems. SingularityOS employs advanced encryption protocols, but the secure custody of access credentials remains the user's sole responsibility.

JURISDICTION AND DISPUTE RESOLUTION

Any dispute, controversy, or claim arising from this agreement shall be resolved exclusively through **binding arbitration in Casper, Wyoming, USA**. The user explicitly waives their right to participate in class-action lawsuits.
